Terms of Service

1. Acceptance of Terms

Welcome to NextClip (the "Service"). By accessing or using our AI-powered video editing and social media scheduling application, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may modify these Terms at any time. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

NextClip provides a cloud-based AI video editing platform that allows users to create, edit, and publish short-form video content. The Service includes, but is not limited to:

  • AI-powered video clipping and viral moment detection
  • Automatic caption generation, B-roll insertion, and hook text creation
  • Transcript-based video editing
  • Social media scheduling and direct publishing to connected accounts including YouTube, Instagram, TikTok, LinkedIn, and Facebook Pages
  • Performance reporting for content published through NextClip to connected TikTok, Instagram, and Facebook Page accounts

The specific features and functionality may change over time at our discretion. We will provide reasonable notice of material changes where possible.

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your account credentials
  • Be responsible for all activities under your account
  • Immediately notify us of any unauthorized use of your account at support@nextclip.pro

4. Third-Party Platform Integrations and Social Media Scheduling

NextClip allows you to connect third-party social media accounts (including YouTube, Instagram, TikTok, LinkedIn, and Facebook Pages) to schedule, publish, and measure the performance of video content directly from our platform. By connecting a third-party account, you:

  • Authorize NextClip to act on your behalf to upload, publish, save as draft, and retrieve performance data for video content solely as directed by you through our scheduling and analytics features
  • Confirm that you own or have the legal right to publish the content being scheduled
  • Agree that your use of each connected platform is also subject to that platform's own terms of service, including the YouTube Terms of Service, the TikTok Terms of Service, and Meta Platform Terms
  • Acknowledge that NextClip is not responsible for changes to third-party platform APIs or policies that may affect scheduling or analytics functionality

4a. YouTube API Services

NextClip's YouTube integration uses the YouTube Data API v3. By connecting your YouTube account, you additionally agree to the YouTube Terms of Service and acknowledge that Google's Privacy Policy applies to your use of YouTube features within NextClip.

NextClip uses the following YouTube API scopes:

  • youtube.readonly — to retrieve your channel name and ID so we can display your connected account within the NextClip dashboard
  • youtube.upload — to upload and manage videos on your YouTube channel on your behalf, as directed by the publishing schedule you set within NextClip

We do not access your YouTube watch history, subscriptions, playlists, comments, or any other YouTube data beyond what is described above. You may revoke NextClip's access to your YouTube account at any time via your Google Account permissions.

4b. TikTok API Services

NextClip's TikTok integration uses the TikTok Login Kit and Content Posting API. By connecting your TikTok account, you additionally agree to the TikTok Terms of Service and TikTok Privacy Policy. NextClip requests the following TikTok scopes, and only uses each one for the specific purpose described:

  • user.info.basic — to read your TikTok open ID, avatar, and display name so we can identify your account and show your connected profile within the NextClip dashboard
  • video.publish — to directly post finished clips to your TikTok profile at the time and date you schedule within NextClip
  • video.upload — to send a finished clip to your TikTok account as a private draft when you choose to finish editing or add a caption inside the TikTok app before posting, instead of publishing directly through NextClip
  • video.list — to read the list and public metadata (views, likes, comments, shares) of videos NextClip has published to your TikTok account, so we can display performance analytics for those posts inside the NextClip dashboard. We only retrieve data for videos published through NextClip; we do not browse, index, or store data about your other TikTok videos.

You may revoke NextClip's access to your TikTok account at any time from within NextClip or via your TikTok app settings under Settings and Privacy → Security → Manage Account Permissions.

4c. Meta (Instagram and Facebook Page) API Services

NextClip's Instagram and Facebook integrations use the Instagram Graph API and Facebook Graph API and require your Instagram account to be a Professional (Business or Creator) account connected to a Facebook Page. By connecting these accounts, you additionally agree to the Meta Platform Terms and Meta Privacy Policy. NextClip requests the following Meta scopes, and only uses each one for the specific purpose described:

  • instagram_basic— to read your connected Instagram professional account's profile info (username, account ID, profile picture) so we can display your connected account within the NextClip dashboard
  • instagram_content_publish — to publish finished clips directly to your Instagram professional account at the time you schedule within NextClip
  • instagram_manage_insights — to read performance metrics (reach, views, engagement) for content NextClip has published to your Instagram account, so we can display analytics inside the NextClip dashboard
  • pages_show_list — to show you a list of the Facebook Pages you manage so you can select which Page to connect to NextClip
  • pages_read_engagement — to read engagement metrics (likes, comments, shares) for content NextClip has published to your connected Facebook Page, so we can display analytics inside the NextClip dashboard
  • pages_manage_posts — to publish finished clips directly to your connected Facebook Page at the time you schedule within NextClip

We do not access your Instagram or Facebook direct messages, personal feed, followers list, or comments beyond what is described above. You may revoke NextClip's access to your Instagram or Facebook account at any time from within NextClip or via your Meta Business Integrations settings.

4d. Your Responsibility for Published Content

You are solely responsible for all content published through NextClip to connected social media accounts. NextClip is not responsible for content that violates a connected platform's community guidelines or terms of service. NextClip will not publish any content without your explicit scheduling action.

5. User Content

By uploading, storing, or sharing content through our Service, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Use, reproduce, modify, and process your content solely as necessary to deliver the Service to you (e.g., clipping, caption generation, B-roll insertion, transcoding for export)
  • Transmit your content to connected third-party platforms as directed by your scheduled publishing actions
  • Retrieve and display performance data for content published through NextClip, as described in Section 4
  • Remove content that violates our policies

You represent and warrant that you own or have the necessary rights to all content you upload and publish through NextClip, including any music, footage, or third-party material.

We do not use your video content to train AI models or share it with third parties for purposes other than service delivery.

6. Prohibited Conduct

You may not use the Service to:

  • Upload, process, or publish illegal, offensive, or harmful content
  • Violate intellectual property rights, including uploading content you do not have rights to
  • Attempt to access other users' accounts or data
  • Distribute malware or engage in hacking activities
  • Use the Service or connected platform integrations for unauthorized commercial spam, bot activity, or platform manipulation
  • Circumvent or abuse the credit or subscription system
  • Interfere with or disrupt the Service or its infrastructure

7. Subscription and Payments

Our Service offers various subscription plans:

  • Subscription fees are charged on a recurring monthly or annual basis
  • Credits are consumed per use of AI processing features
  • You can cancel your subscription at any time; access continues until the end of the paid billing period
  • No refunds are provided for partial billing periods or unused credits
  • Prices are subject to change with prior notice of at least 30 days

Failed payments may result in account suspension.

8. Intellectual Property

The Service and its original content, features, AI models, and functionality are owned by NextClip and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, reverse-engineer, or replicate any part of the Service without written permission.

9. Limitation of Liability

To the maximum extent permitted by law, NextClip shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or use
  • Interruption of service
  • Errors or omissions in AI-generated content (captions, hooks, B-roll)
  • Failures or delays in social media publishing or analytics caused by changes to third-party platform APIs or policies

Our total liability is limited to the amount you paid for the Service in the past 12 months.

10. Indemnification

You agree to indemnify and hold NextClip harmless from any claims, losses, damages, liabilities, and expenses arising from:

  • Your use of the Service
  • Violation of these Terms
  • Content you upload, process, or publish through the Service, including any claims of copyright infringement or violation of third-party platform terms
  • Your use of connected social media integrations

11. Termination

We may terminate or suspend your account and access to the Service:

  • For violations of these Terms
  • For misuse of connected third-party platform integrations
  • If we cease providing the Service
  • At our sole discretion with reasonable notice where possible

Upon termination, you lose access to your account and stored content. Connected social media accounts remain unaffected; only the NextClip integration is removed.

12. Dispute Resolution

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by the laws of India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, interpretation, breach, or termination thereof, shall be resolved through arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration proceedings shall be conducted in English.

For users outside India: You may also choose to resolve disputes through your local courts if required by your local laws. Nothing in these Terms prevents you from bringing claims in your local courts if your local laws permit such actions.

You may opt out of arbitration within 30 days of first using the Service by sending written notice to support@nextclip.pro.

13. Governing Law

These Terms are governed by the laws of India. However, this choice of law does not deprive you of the protection afforded under the mandatory consumer protection laws in your jurisdiction of residence.

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole.
